State and local tax

SALT exposure grows quietly. We find it first.

Since the Supreme Court's 2018 Wayfair decision, a state can tax you based on your sales into it, with no office or employee there. Remote hires, new states and SaaS products whose taxability varies state by state all add up. Buyers and investors find this exposure in diligence. We would rather you hear it from us first.

Assessment

  • Nexus study across sales, payroll and property
  • Economic nexus tested state by state against each state's thresholds
  • Product and service taxability matrix
  • Historical exposure quantified, with penalties and interest
  • Prioritised remediation plan

Advisory

  • Voluntary disclosure agreements to settle past exposure
  • Registration strategy and timing
  • Income and franchise tax apportionment and sourcing
  • Entity structure and expansion planning
  • SALT diligence on both sides of a deal

Compliance

  • Sales and use tax returns, on a filing calendar
  • State income and franchise tax returns
  • Exemption and resale certificate management
  • Notice and audit response
  • Tax engine setup (Avalara, Anrok, Stripe Tax)

Remote employees

One hire in a new state can create nexus for income and payroll tax.

Economic nexus

Many states set the threshold at $100,000 of sales into the state, so growth alone can trigger it.

SaaS and digital goods

Taxable in some states, exempt in others, and the rules keep changing.

Gross receipts taxes

Taxes such as Washington's B&O and Ohio's CAT apply to revenue, not profit, even in a loss-making year.

Local jurisdictions

City, county and district rates stack on top of state rates, and each can have its own return.

Deal diligence

Unfiled state tax is a common diligence finding, and buyers price it into escrows and holdbacks.

Agents gather the data, test thresholds and draft returns. Every position and filing is reviewed by a qualified tax professional before it goes out.
